Official Rules “Sale of Yale brand digital locks with free or included installation - December 31, 2021”

This Regulation (hereinafter the “Regulation”) aims to establish, define, and limit the terms and conditions of the promotion to be carried out and organized by FERRETERÍA EPA S.A., legal entity tax ID 3-101-354271, who shall be referred to hereinafter and for the purposes of this Regulation as “The Organizer” and/or Ferretería Epa S.A / EPA”.

The provisions herein shall be mandatory for Participants (see definition of Participant below) who voluntarily, and in compliance with these provisions, decide to participate in the Promotion carried out by EPA. Participation in the Promotion implies that the Participant acknowledges and respects these rules and procedures, which shall be considered definitive regarding the Promotion and are known and accepted as final. Any violation of said rules and/or procedures established for the Promotion will imply the immediate exclusion of the Participant, without any liability on the part of Ferretería EPA S.A. regarding the return of prizes granted by virtue of this Regulation, when there are reasonable grounds to believe that the participant is not acquiring products for their personal use or that of their family circle, with the objective of reselling, distributing, or with the intention of acquiring the participating items for the sole purpose of participating in the Promotion and subsequently returning said products before the expiration of the Promotion's term.

SECTION A. GENERAL PROVISIONS:

Article A1: Regarding the Promotion: The purpose of this Regulation is to establish, regulate, limit, and clarify the guidelines and/or conditions under which the Promotion named “Updating interests in our database” (hereinafter referred to as the “Promotion”) will be governed, which belongs to and is primarily sponsored by Ferretería EPA S.A. (hereinafter referred to as the “Sponsor” and/or “Organizer”).

Article A2: This Promotion is for a limited time, starting on October 5, 2021, and ending on October 31, 2021, thus establishing the duration detailed in accordance with this Regulation.

Article A3: Any natural or legal person may participate in this Promotion, provided that, in the case of natural persons, they are of legal age and possess a valid, up-to-date personal identification document duly recognized by the Government of the Republic of Costa Rica, given that the purpose of this Promotion is the benefit of end customers and/or consumers of EPA.

Article A4: The Promotion is aimed at End Consumers of Ferretería EPA S.A. who are duly registered on the official website epaenlinea.com or those who duly register during the validity period. The terms and conditions of use of the website are governed by the “Terms and conditions” of epaenlinea.com, which are available through the same website or at this address: https://cr.epaenlinea.com/terminos-condiciones.

The Organizer reserves the right to disqualify from the Promotion or not to proceed with the delivery of the promotional benefit granted by virtue of this Regulation when there are reasonable grounds to believe that the participant is not acquiring products at EPA for their personal use or that of their family circle, with the objective of reselling, distributing, or with the intention of acquiring the participating items for the sole purpose of participating in the Promotion and subsequently returning said products before the expiration of the Promotion's term.

The fact that a person participates (2) times in the same month, which significantly exceeds what is reasonable and expected from an average contestant, will lead the Organizers to presume that their participation has been manipulated with the aim of increasing their probability of winning. The promotional benefit can only be used once, at the time of making a purchase on the epalinea.com portal.

Article A5: The following capitalized terms and definitions used in this Regulation shall have the meaning established, with the understanding that said meaning shall be applicable to both the singular and plural forms thereof.

1. “Customer or Participant” means any of the natural persons who participate in the Promotion with the limitations of Article A3 and A4, both of this Regulation.

1. “Points of Sale” means exclusively through purchases made on the digital platform epaenlinea.com

1. “Personal Data” means the data that each Participant must provide in order to participate, which are: (i) Full Name; (ii) Valid and up-to-date personal identification number, duly recognized by the Government of the Republic of Costa Rica; (iii) Phone numbers; (iv) Proof of purchase number.

1. Prize: In this promotion, there is one (1) type of prize, consisting of:

Promotional benefit: In this promotion, there is one prize per participant of a 10% discount coupon which will be granted through a digital coupon for exclusive consumption on epaenlinea.com, which will be valid until November 15, 2021.

1. General terms of the prize: In case of being selected to redeem the prize, you must select the products you wish to purchase exclusively through epaenlinea.com, add them to the shopping cart; once you are in the payment methods section, you must type the alphanumeric code in the “Coupon” field and apply it to obtain the aforementioned discount prior to payment. The digital coupon code can only be used (1) once per user in a single purchase, so the digital coupon will be consumed in its entirety regardless of the total amount of the purchase to which it is applied.
2. Restrictions on use: Does not apply to other promotions (Opportunities or clearance sales) nor to category 30 (Construction)

This Regulation will be available in its entirety for the knowledge and information of the general public and consumers on epaenlinea.com during the validity of this promotion. For the purpose of communicating this Regulation, the promotional material will establish the following legal legends: (1) "Conditions apply, see regulation at epaenlinea.com. Validity for filling out the survey from October 5 to October 31, 2021." (2) "Conditions apply, see regulation at epaenlinea.com. Validity for coupon redemption until November 15, 2021."

SECTION B. PARTICIPATION MECHANICS AND CONDITIONS:

Article B1: To participate in this Promotion, it is necessary for the Participant to know and accept in advance the conditions, requirements, and limitations established in this Regulation, which will be explained if necessary by the duly identified Ferretería EPA service advisors. Likewise, this Regulation will be available at Customer Service and on the official website epaenlinea.com. Any violation of this Regulation and/or the procedures, mechanics, and application systems of the Promotion will imply the immediate exclusion of the Participant from the Promotion and the revocation of any right or prize granted.

Article B2: During the validity period of this Promotion, duly delimited in Article A2 of this Regulation, persons interested in participating voluntarily in the Promotion may do so in the manner described in the following Articles.

Article B3: During the validity period of this Promotion, the Participants who wish to obtain the prize will do so in the following manner:

On October 5, 2021, an email will be sent to all customers who are registered in the Ferretería Epa database, with the purpose of requesting an update of data in which they must select their interests. Among the people who have correctly updated their interests at the end of the survey, they will obtain the promotional benefit that is the subject of this promotion, which will have a maximum deadline until November 15, 2021, to redeem their prize. To participate, the customer registered in the database must check their inbox, Spam folder, or junk mail folder to ensure they access the survey provided via email before the established deadline expires; in the event that the selected individual does not open the aforementioned email nor update the information requested in the survey, the customer will not be able to claim or enjoy the promotional benefit that is the subject of this regulation.

Article B4: Conditions for participation.

• The customer must belong to the Ferretería Epa database prior to the sending of the email; those users who have been included after the date of sending the email will not be able to participate in the promotion.
• In case of not being registered in the database, you must create a user through epaenlinea.com.
• The customer must access the survey provided by email and update their interests.
• The coupon must be redeemed by November 15, 2021, at the latest.

Article B5: Those customers who do not comply with one or more of the requirements indicated in this regulation will be excluded as participants. Likewise, if the data provided is not clear and does not allow the Participant to be identified.

Article B6: For the recipient of a promotional benefit in accordance with Article B3 of this Regulation, according to what is established in the Regulation, the procedure to obtain the promotional benefit subject to this regulation will be granted if all the mentioned requirements are met; the benefit cannot be transferred, cannot be exchanged for cash, and has a maximum validity until November 15, 2021.

Each participant must make the purchase during the validity period established for the redemption of the prize. Failing to do so, they will lose the right to it and will not be able to claim the loss of said prize from Ferretería EPA S.A.

In the event of having accepted a prize but, for whatever circumstance, refusing to receive it or complete the respective paperwork, the recipient will lose their right to the Prize. A Notarial Act regarding these circumstances will be drawn up at the discretion of the Organizer.

Article B7: In order to make the results of the Promotion public, at the decision and discretion of the Organizer, the participant who is favored with the Prize of this Promotion expressly and irrevocably authorizes the Organizer for their name and image to appear in publications and other advertising media, and in general in all dissemination material regarding activities subsequent to the Promotion, such as delivery and receipt of the prizes, without implying additional remuneration or compensation, nor claims for image rights, and by participating, they adhere to the regulations of this Regulation, being unable to refuse the disclosure of their information and image rights.

SECTION C. RESTRICTIONS AND LIMITATION OF LIABILITY:

Article C1: The prize applies exclusively to the purchase of products that are available for purchase on the digital portal epaenlinea.com.

Article C2: The illustrations and/or photographs used in the publications of this Promotion are solely for commercial purposes; however, the items that correspond to the prize correspond to the reality and characteristics of the same specified in Article A5 point 4.

Article C3: The Sponsor may modify, reduce, expand, extend, suspend, or terminate this Promotion early, immediately, without any liability on its part, totally or partially, indefinitely or definitively, if any cause of force majeure or fortuitous event arises that warrants it. Likewise, for commercial reasons or convenience, it may also modify, suspend, or terminate this Promotion on the same terms, at its sole and total discretion, without the need for prior notice other than that which is published in the media and advertising that the Sponsor deems appropriate, or in its Customer Service offices.

Article C4: The Sponsor's responsibility ends with the delivery of the benefits described in Article B4 and is not responsible for any type of accidents, death, illnesses, or medical expenses, conduct, and misconduct that may occur through the use and enjoyment of any of the prizes or promotional products.

Article C5: If a selected Participant does not redeem their prize within the term indicated in this Regulation, within the dates indicated, as well as within the term corresponding to the same day of the purchase, it shall be taken as a voluntary waiver of their right to claim the benefit. The selected Participant shall not have any right to claim or compensation, not even partially, which each Participant accepts by adhering voluntarily to the participation in the promotion. Should such a situation arise, the Organizer is authorized to select one of the alternate winners as appropriate.

Likewise, in special cases that warrant it, at the decision of the Sponsor, a Notarial Act will be drawn up regarding these circumstances to place on record any fact outside of what is provided for in this Regulation.

Article C6: In the event that one is a Winner and for whatever reason, whether they do not comply with the restrictions and conditions regulated herein, or by their own will they do not accept the Prize, they will not be able to claim any compensatory sum or consolation prize from the Organizer.

• The Promotion and the Participants are subject to the requirements, conditions, and restrictions of this Regulation.
• In the event of any fortuitous event or force majeure, Ferretería Epa S.A. may suspend the Promotion totally or partially, without generating any liability for such suspension.
• Ferretería Epa S.A. will not be responsible for collateral expenses that the completion of the procedures to make this Promotion effective implies for the Participant. These collateral expenses refer to: cost of calls, preparation of documents, copies, cost of transportation, among others.
• Ferretería Epa S.A. reserves the right to suspend the benefits of this Promotion in cases where it is determined that the benefits of the same have been applied through deceit, fraud, or other illegal activity.
• The mechanics of this Promotion, as well as the Intellectual Property derived from it, are the exclusive property of Ferretería Epa S.A.
• The responsibility of Ferretería Epa S.A. culminates with the delivery of the Prize corresponding to the favored Participant, so the organizer is responsible only for the delivery of the prize indicated in this Regulation. Since the prize is the coupon, EPA will not be responsible for personal damages.
• The winner of the prize will be solely responsible for the use and enjoyment they give to it.
• The Organizer will not be responsible for eventual unauthorized human interventions by third parties in the computer systems or similar that alter the development of the promotion, so in case such a situation is detected, said Promotion will be suspended.
• Suspension of the Promotion: The Organizer reserves the right to suspend the Promotion temporarily or permanently in the event of proven fraudulent allocation or claiming of prizes, as well as in cases of technical failures or any other event beyond the reasonable control of the Organizers. The alteration of documents and information regarding Participants, as well as deception, fraud, forgery, unauthorized manipulation that hinders the normal performance of the Promotion, and actions that, in the judgment of the Organizers, are illegal and may cause harm to the Promotion or its Organizers may be prosecuted by the means provided by Law.
• Personal information: All information provided by participants shall belong to the Organizer and/or Co-organizer. By providing their data, participants authorize the Organizers to access said information and include it in a database if the Organizer sees fit, further authorizing the use of said database to send commercial information from the Organizing Company or third parties, as well as any commercial purpose that is not prohibited.
• Relationship between the parties: No provision of this Promotion shall be interpreted as creating a relationship between the parties other than that arising from normal trade traffic. No participant in the Promotion, by virtue of being one, acquires the status of employee, representative, or agent of the Organizing company. Fulfillment of the obligations established in these Regulations shall conclude the relationship between the parties in its entirety.
• Participants acknowledge that the Organizer will not collect or process sensitive personal data. The data requested from the participant and which the law authorizes the Organizer to request will be used. By the mere fact of participating, participants accept and consent that the data relating to their names, photographs, and personal emails on their Facebook social network profiles or provided at any time during the Promotion may be used by the Organizer.
• Regarding the respect for the right to informational self-determination that assists individuals, the Organizer informs all Promotion participants of the existence of a database where personal data requested in this Promotion will be collected.
• The information contained in the database that may be held by the Promotion shall be for the use of the Organizer, and the Organizer is authorized to transfer such data to the company(ies) it deems pertinent. Participants and users declare they have been informed of the personal data protection conditions described above, accepting and consenting to the automated processing of said data by the Organizer, in the manner and for the purposes indicated in this section.
