Official rules for the “We improve your quote” promotion

This Regulation (hereinafter the “REGULATION”) has the objective of establishing, defining, and limiting the terms and conditions of the promotion to be carried out and organized by FERRETERÍA EPA S.A., legal entity identification number 3-101-354271, who shall be referred to hereinafter and for the purposes of this Regulation as “The Organizer” and/or Ferretería Epa S.A / EPA.”

The provisions herein shall be mandatory for Participants (see definition of Participant below) who voluntarily, and in compliance with these provisions, decide to participate in the Promotion held by EPA. Participation in the Promotion implies on the part of the Participant the acceptance of knowing and respecting these rules, conditions, and procedures, which shall be considered definitive with respect to the Promotion, and which are known and accepted as final. Any violation of said rules and/or procedures established for the Promotion shall imply the immediate exclusion of the Participant, without any liability on the part of Ferretería EPA S.A.

By virtue of the foregoing, by the mere act of participating in the Promotion, the Participants accept all the rules of this Regulation unconditionally, including those clauses that limit the Sponsor’s liability. Likewise, they agree to submit to the decisions of the Organizer in any matter related to the Promotion.

The granting of benefits shall be conditioned upon compliance with any and all applicable laws and regulations, as well as the provisions of this Regulation. The Organizer reserves the right to disqualify and/or demand the return of the Promotional Benefits and/or benefits granted to those participants who directly or indirectly breach the norms and conditions established herein.

SECTION A. GENERAL PROVISIONS:

Article A1: Regarding the Promotion: This Regulation has the purpose of establishing, regulating, limiting, and clarifying the guidelines and/or conditions under which the Promotion named “WE IMPROVE YOUR QUOTE” (hereinafter referred to as the “Promotion”) will be governed, which belongs to and is sponsored by Ferretería EPA S.A. (hereinafter referred to as the “Sponsor” and/or the “Organizer”).

Article A2: The present Promotion is for a limited time, starting at 07:00 hours on August 11, 2022, and ending at 21:00 hours on August 11, 2023.

Article A3: Any natural person who wishes to do so may participate in this Promotion, provided they are of legal age and possess a valid and up-to-date personal identification document, duly recognized by the Government of the Republic of Costa Rica. Likewise, all types of legal entities as well as government entities may participate, provided they meet the condition that the representative and/or person in charge is of legal age.

Article A4: The Promotion is aimed at all types of Final Consumers of Ferretería EPA S.A. For this Promotion, the participation of manufacturers, distributors, resellers, and other persons considered as such shall also be permitted. Likewise, employees and representatives of the Promotion organizer may participate in the Promotion.

Article A5: The following capitalized terms and definitions used in this Regulation shall have the meaning established, with the understanding that said meaning shall be applicable to both the singular and plural forms thereof.

1. “Customer or Participant” means any of the natural and/or legal persons who participate in the Promotion within the limitations of Articles A3 and A4, both of this Regulation.

2. “Points of Sale” means the five (5) Ferretería EPA stores, which are located in: (i) Curridabat, adjacent to the Indoor Club; (ii) Escazú, adjacent to the Próspero Fernández highway; (iii) San Antonio de Belén, diagonal to Mall Real Cariari; and (iv) Tibás, three hundred meters west of the Llorente intersection; (v) Desamparados, three hundred meters south of the San Miguel intersection.

3. “Personal Data” means the data that each Participant, whether a natural and/or legal person, must provide to service advisors at the quotation module to register and prepare the improved quote, which are: (i) Full Name; (ii) Valid and up-to-date personal identification number, duly recognized by the Government of the Republic of Costa Rica; (iii) Telephone numbers; (iv) Proof of purchase number. Such information will be used solely by the Organizer for the purposes of the Promotion, a situation to which customers consent, and therefore it may not be used for commercial or advertising purposes.

4. Promotional Benefit: In this promotion, there is one (1) type of Promotional Benefit, which consists of:

Immediate Promotional Benefit: Consists of improving a formal quote, duly printed, with the name, identification, legal ID, and logo of the business, which includes a quantity equivalent in units to any of the products sold and/or marketed in EPA Stores; duly issued by any other business similar to EPA.

5. Generalities of the Promotional Benefit: This Promotional Benefit is subject to stock and limited quantities in the regular inventories of each EPA Store.

This Regulation will be available in its entirety for the knowledge and information of the general public and consumers at the Customer Service sections of the organizer’s Points of Sale during the term of this promotion. For the purposes of communicating this Regulation, promotional material will establish the following legends: “Promotion valid from 09/24/2018 until 12/31/2024. Conditions and restrictions apply. See the promotion regulation at in-store customer service.”

SECTION B. PARTICIPATION MECHANICS AND CONDITIONS:

Article B1: To participate in this Promotion, it is necessary for the Participant to know and accept in advance the conditions, requirements, and limitations established in this Regulation, which will be explained, if necessary, by the duly identified Ferretería EPA service advisors. Likewise, this Regulation will be available at Customer Service and on the Facebook page. Any violation of this Regulation and/or the procedures, mechanics, and systems of application of the Promotion will imply the immediate exclusion of the Participant from the Promotion and the revocation of any right or Promotional Benefit granted.

Article B2: During the period of validity of this Promotion, duly delimited in Article A2 of this Regulation, those interested in voluntarily participating in the Promotion may do so in the manner described in the following Articles.

Article B3: During the term of this Promotion, Participants who wish to participate in the draw shall do so as follows:

In order to apply the Promotional Benefit granted by EPA through this Promotion, the Participant may request the application of the Benefit to improve a formal quote, duly printed, with the name, identification, legal ID, and logo of the business, which includes any of the products sold and/or marketed in EPA Stores; duly issued by any other business similar to EPA.

The request must be managed by presenting the business Quote to the EPA Quotation Department, in order to review the presented quote and for EPA to improve said Quote, provided that the following conditions are met.

Article B4: Conditions to participate.

● The customer must go to the EPA Quotation module, which will be located at the Point of Sale, with the original quote from the business similar to EPA.

● The EPA employee will verify the following conditions and restrictions:

a. The quote must be formal, which will feature the logo of the company, legal ID, telephone number, or contact information of the hardware store that issued the quote.

b. It must be presented printed. It cannot be handwritten.

c. The quote must be in favor of the end customer, the same person who is requesting the quote improvement.

d. It cannot be older than three (3) calendar days from its issuance by the business, for which reason the Participant must appear at EPA before the aforementioned deadline.

e. The quote presented for improvement must be handed over to the EPA staff. This quote may only be applied one (1) time to obtain the benefit.

f. For the benefit of improving the price of the quote to apply, it must contain and refer to the same product, brand, and quality.

g. The price improvement is reflected in the total amount of the quote issued by EPA at the time of invoicing said quote, with which the Participant may purchase the products referred to in the quote.

h. EPA will not make improvements on items that have a current discount on the price as part of any other Promotion and/or Opportunity Price.

i. The quote improved by EPA must be executed through the effective purchase of the products within a maximum period of one (1) day.

● Quotes that are not original, are torn, damaged, or in any way fail to comply with the procedures established for this purpose, or have a state or appearance that casts doubt on their authenticity, that have already been activated at any other of the points of sale previously, or that are outside the promotion validity date will not participate.

Article B5: Those customers who do not meet one or more of the requirements indicated in this Regulation will be excluded as participants. Likewise, if the data provided is not clear and does not allow for the identification of the Participant or the business that issued the document.

Article B6: Each person favored by the Promotional Benefit in accordance with Article B3 of this Regulation will be granted the improvement in the Quote by EPA, in compliance with the specifications of the Promotion as established in the Regulation. The Promotional Benefit cannot be transferred, cannot be exchanged for cash, and must be claimed on the same day of the purchase.

In the event of having accepted a Promotional Benefit, but for any circumstance refuses to receive it through the purchase or to complete the respective paperwork to complete the purchase according to the quote, the favored person will lose their right to the Promotional Benefit. A Notarial Act will be drawn up regarding these circumstances at the discretion of the Organizer.

Article B7: In order to make the beneficiaries of the Promotion public, at the decision and discretion of the Organizer, the participants who are favored with any of the Promotional Benefits of this Promotion expressly and irrevocably authorize the Organizer for their name and image to appear and be indicated in publications and other advertising media and, in general, in all disclosure material for activities subsequent to the Promotion, such as the delivery and receipt of the Promotional Benefits, without this implying any additional remuneration or compensation, nor claims for image rights, and by participating they adhere to the regulations of this Regulation and may not refuse the disclosure of their information and image rights.

SECTION C. RESTRICTIONS AND LIMITATION OF LIABILITY:

Article C1: The illustrations and/or photographs used in the publications of this Promotion are solely for commercial purposes.

Article C2: The Organizer may modify, reduce, enlarge, extend, suspend, or terminate this Promotion early, immediately, without any liability on its part, totally or partially, indefinitely or definitively, if any cause of force majeure or fortuitous event that warrants it occurs. Likewise, for commercial reasons or convenience, it may also modify, suspend, or terminate this Promotion on the same terms, at its sole and total discretion, without the need for any prior notice other than that which is published in the communication and advertising media through which the Sponsor published and announced the information of this Promotion, or at its Customer Service offices.

Article C3: The responsibility of the Organizer ends with the delivery of the Promotional Benefit described in Article A5 and it is not responsible for any type of accidents, death, illnesses, or medical expenses, conduct, and bad behavior that may occur due to the use and enjoyment of any of the Promotional Benefits or promotional products.

Article C4: If a Participant does not execute their Promotional Benefit within the period indicated in this Regulation, it will be considered a voluntary waiver of their right to claim the Promotional Benefit. The Participant shall have no right to any claim or compensation, not even partially, which each Participant accepts by voluntarily adhering to participation in the Promotion. Likewise, in special cases that warrant it, at the decision of the Sponsor, a Notarial Act will be drawn up regarding these circumstances to attest to any fact not foreseen in this Regulation.

Article C5: In the event that a beneficiary is selected and for any reason, whether they do not meet the restrictions and conditions regulated herein, or by their own will do not accept the Promotional Benefit, they may not claim any sum of compensation or a consolation Promotional Benefit from the Organizer. The Promotion and the Participants are subject to the requirements, conditions, and restrictions of this Regulation, including:

● In any situation of a fortuitous event or force majeure, Ferretería Epa S.A. may suspend the Promotion totally or partially, without generating any liability for such suspension.

● Ferretería Epa S.A. will not be responsible for the collateral expenses that the performance of the procedures to make this Promotion effective implies for the Participant. These collateral expenses refer to: cost of calls, preparation of documents, copies, transport costs, among others.

● Ferretería Epa S.A. reserves the right to suspend the benefits of this Promotion in cases where it is determined that the benefits of the same have been applied through deception, fraud, or other illegal activity.

● The mechanics of this Promotion, as well as the Intellectual Property derived from the same, are the exclusive property of Ferretería Epa S.A.

● The responsibility of Ferretería Epa S.A. ends with the delivery of the Promotional Benefit corresponding to the Participant according to the quote presented, so the Organizer is responsible only for the delivery of the Promotional Benefit indicated in this Regulation.

● The customer and/or Participant of the Promotional Benefit will be solely responsible for the use and enjoyment they make of it.

● The Organizer will not be responsible for any unauthorized human interventions by third parties in the computer systems or similar that alter the development of the promotion, so in case any similar situation is detected, said Promotion will be suspended.

● Suspension of the Promotion: The Organizer reserves the right to suspend the Promotion temporarily or definitively in the event of proof of the existence of assignment or claim of Promotional Benefits in a fraudulent manner, as well as in cases of technical failures or any other event beyond the reasonable control of the Organizers. The alteration of documents and information about the Participants, as well as deception, fraud, or falsification, unauthorized manipulation that hinders the normal performance of the Promotion, and actions that, in the judgment of the Organizers, are illegal and may cause prejudice to the Promotion or its Organizers may be prosecuted by the means provided by Law.

● Personal information: All information provided by the participants will belong to the Organizer. Participants, by providing their data, authorize access to said information by the Organizers and its inclusion in a database if the Organizer sees fit, also authorizing the use of said database to send commercial information of the Organizing Company or third parties, as well as any commercial purpose that is not prohibited.

● Relationship between the parties: No provision of this Promotion shall be interpreted as creating a relationship between the parties different from that which arises from normal trade traffic. No participant of the Promotion, by the fact of being one, acquires the status of employee, representative, or agent of the Organizing company. With the fulfillment of the obligations established in this Regulation, the relationship between the parties will end in its entirety.

● The Participants acknowledge that the Organizer will not collect or process sensitive personal data. The data requested from the participant and which the law authorizes the Organizer to request will be used. Participants, by the mere fact of participating, accept and consent that data relating to their names, photographs, and personal emails that they have on their Facebook social network profiles or provided at any time of the Promotion be used by the Organizer.

● Regarding the respect for the right of informational self-determination that assists people, the Organizer informs all participants of the Promotion of the existence of a database where the personal data requested in this Promotion will be collected.

● The information contained in the database held by the Promotion shall be for the use of the Organizer, and the Organizer is authorized to transfer said data to the company or companies it deems pertinent. Participants and users declare that they have been informed of the conditions regarding the personal data protection described above, accepting and consenting to the automated processing thereof by the Organizer, in the manner and for the purposes indicated in this section.

● Any dispute a Participant may have with third parties regarding the ownership of the Promotional Benefit corresponding to the quote shall be a matter external to the Organizer, regardless of the origin or cause of the product acquisition, or any other aspect related to that or any other transaction in which the participant is involved.

● The Promotional Benefit is indivisible, non-transferable, and non-negotiable. To be entitled to the Promotional Benefit, participants must comply with all the requirements established in these Regulations related to the quote.

● The Promotional Benefit does not include personal expenses incurred by the participant to redeem their Promotional Benefit, nor any other item not expressly included in these Regulations. The cost of any documentation that Participants must obtain in order to collect or enjoy the Promotional Benefit is borne by each of them.

● Under no circumstances shall the Organizer be obligated to deliver more Promotional Benefits than those offered in the advertising and Regulations of this Promotion. If for any reason the Organizer is unable to deliver any of the Promotional Benefits to the Participants, it is possible to be exempted from the delivery of said Promotional Benefit due to force majeure.
